NDA Confidentiality Guide 2026: Everything You Need to Know

Given the growing importance of protecting sensitive information in business, signing a confidentiality NDA has become an essential step in securing commercial exchanges, negotiations and partnerships. Whether you are a company director, an entrepreneur or a self-employed professional, understanding the legal subtleties of these non-disclosure agreements can help you avoid costly disputes and effectively protect your information assets.

What is a confidentiality NDA?

Definition and legal principle

An NDA (Non-Disclosure Agreement), or confidentiality agreement, is a contract by which one or more parties undertake not to disclose certain confidential information that will be communicated to them. Under French law, these agreements are based on freedom of contract as enshrined in Article 1103 of the French Civil Code, which provides that "contracts lawfully formed have the force of law for those who have made them".

The confidentiality agreement creates a legal obligation of secrecy between private parties, distinct from the statutory confidentiality obligations that may exist in certain regulated professions. It secures the exchange of sensitive information before, during or after a business relationship. The legal basis and the different types of confidentiality agreements are presented in our article entitled "What is an NDA?".

The different types of NDA

A confidentiality NDA may take several forms depending on the nature of the exchanges:

  • The unilateral agreement: only one party communicates confidential information to the other
  • The bilateral or multilateral agreement: several parties exchange sensitive information with one another
  • The sector-specific agreement: adapted to the particular features of a given field of activity

The legal framework of the NDA under French law

Legal and regulatory basis

Under French law, the confidentiality NDA relies on several complementary legal sources. The French Civil Code governs the conditions for the formation and performance of these contracts, while the French Commercial Code adds specific rules for relations between professionals.

French case law has gradually refined the legal contours of these agreements. The Cour de cassation (French Supreme Court) considers that a confidentiality obligation may arise not only from an express contract, but also from the particular circumstances surrounding the communication of sensitive information. On the legal value of a confidentiality agreement in France and on what it does or does not protect, see our analysis of the NDA, its definition and the issues it raises.

Protection of trade secrets

Law No. 2018-670 of 30 July 2018 on the protection of trade secrets strengthened the legal framework applicable to confidentiality NDAs. This legislation transposes European Directive 2016/943 and provides enhanced protection for companies' strategic economic information.

The law defines a trade secret as information that meets three cumulative conditions: it is not known to the public, it has commercial value because it is secret, and it is subject to reasonable protection measures to preserve its confidentiality. The protection of know-how and confidential information forms part of the protection of the company's intangible assets, which we examine in a separate article.

The essential clauses of an effective NDA

Precise definition of confidential information

Drafting an effective confidentiality NDA requires a clear and comprehensive definition of the protected information. This definition must be precise enough to avoid ambiguity, while remaining broad enough to cover all the sensitive data concerned.

Confidential information may include:

  • Technical data and know-how
  • Commercial and financial information
  • Marketing strategies and development plans
  • Customer and supplier lists
  • Internal methods and processes

Obligations and prohibitions of the parties

An NDA under French law must set out precisely the obligations of each party. The main obligation is to keep the information received confidential, but other undertakings may be added:

  • A prohibition on unauthorised reproduction or copying
  • Restricting access to persons who need to know
  • An obligation to return or destroy documents
  • The implementation of appropriate security measures

Duration and territorial scope

Setting the duration is a major issue in a confidentiality NDA. French law does not impose a maximum limit, but the duration must remain reasonable and proportionate to the nature of the information protected.

French case law tends to uphold durations of between 3 and 10 years depending on the sector and the sensitivity of the information. An excessive duration could be regarded as unfair and therefore set aside by the courts.

Legal exceptions and limits

Information that is not protected

Every confidentiality NDA should provide for standard exceptions in order to preserve the contractual balance and comply with public policy. These exceptions generally cover:

  • Information already public at the time of communication
  • Data developed independently by the recipient
  • Information lawfully received from a third party not bound by confidentiality
  • Information whose disclosure is required by law or by a judicial authority

Compliance with public policy and competition law

French law sets certain limits on freedom of contract in matters of confidentiality. The agreement may not infringe competition rules, in particular by creating unjustified obstacles to the free flow of economic information.

The French Competition Authority (Autorité de la concurrence) pays particular attention to confidentiality agreements likely to distort competition or to create barriers to entry in certain markets.

Sanctions and remedies in the event of breach

Damages and compensation for loss

Breach of a confidentiality NDA gives rise to compensation under the general rules of contractual liability. Article 1231-1 of the French Civil Code provides that "the debtor shall be ordered, where appropriate, to pay damages either on account of the non-performance of the obligation or on account of delay in performance".

Calculating damages can be complex, particularly when assessing the economic loss resulting from the disclosure of confidential information. The courts take several criteria into account:

  • Direct commercial loss
  • Loss of opportunity or of competitive advantage
  • The cost of developing the information disclosed
  • Damage to image and reputation

Summary proceedings and urgent measures

Where a breach of a confidentiality NDA is imminent or has occurred, summary proceedings (référé) make it possible to obtain protective measures quickly. The president of the commercial court (tribunal de commerce) or of the judicial court (tribunal judiciaire) may order:

  • The immediate cessation of acts of disclosure
  • The seizure of documents or media containing the confidential information
  • A prohibition on contact with certain customers or partners
  • The deposit of a sum of money as security

Drafting and negotiating an NDA

Points to watch during negotiations

Negotiating an NDA under French law requires a balanced approach in order to protect each party's interests effectively. Several points deserve particular attention:

The scope of the confidential information must be defined precisely, without being so broad as to paralyse the recipient's normal activities. An overly broad definition could be held to be unfair and therefore unenforceable.

Reciprocity of obligations is a major issue in bilateral agreements. Each party should enjoy a comparable level of protection, unless there is an objective justification linked to the asymmetric nature of the exchanges.

Termination and exit clauses

A well-drafted confidentiality NDA must set out how it may be terminated and which obligations survive its expiry. Termination may occur:

  • On expiry of the agreed term
  • By mutual agreement of the parties
  • In the event of a serious breach by one party
  • On the occurrence of certain specified events

Even after termination, the confidentiality obligation generally continues for a fixed period, ensuring ongoing protection of the sensitive information exchanged.

Sector-specific and international aspects

Adapting to business sectors

Certain sectors require specific adaptations of the confidentiality NDA to take account of their regulatory and technical features. The pharmaceutical sector, for example, must incorporate constraints relating to intellectual property and marketing authorisations.

The financial and banking sectors must comply with particular obligations of professional secrecy and personal data protection, which may influence the drafting of confidentiality clauses.

International dimension and conflict of laws

Where the parties to a confidentiality NDA are domiciled in different countries, the question of the applicable law and the competent court becomes crucial. The Rome I Regulation determines the law applicable to contractual obligations in Europe, while the Brussels I bis Regulation governs jurisdiction.

These questions should be anticipated by including specific choice-of-law and jurisdiction clauses, while checking their compatibility with the national laws concerned.

Practical advice and recommendations

Operational implementation

The effectiveness of a confidentiality NDA depends largely on how it is implemented in practice within organisations. The teams concerned should be made aware of the contractual obligations, and internal procedures for protecting information should be put in place.

Keeping a record of exchanges of confidential information makes it easier to provide evidence in the event of a later dispute. A system for marking and tracking sensitive documents strengthens the legal protection afforded by the agreement.

Updating and adapting the contract

An NDA under French law must be able to evolve over time to adapt to technological, regulatory or commercial changes. Periodic review clauses make it possible to update the terms of the agreement without calling its validity into question.

Regular legal monitoring is essential to keep agreements in line with developments in French and European legislation and case law.

Understanding the legal issues raised by confidentiality NDAs is a significant asset in securing your business relationships. Given the growing complexity of these agreements and the constant evolution of the applicable law, the assistance of a lawyer who acts in this field is often necessary to protect your information assets while preserving your commercial interests. Do not hesitate to consult a professional to adapt these general principles to your particular situation and obtain the best possible legal certainty.
